By creating an account, accessing, or using the PERCO.AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. 3. Account & Access3. 账户与访问

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately at security@perco.ai if you suspect unauthorized access. You are responsible for configuring your agents' governance rules, defining approval workflows, setting spend caps, and ensuring agent actions comply with applicable laws and regulations. You are responsible for reviewing and approving agent outputs where your governance configuration requires human oversight.您有责任配置 Agent 的治理规则、定义审批工作流、设置预算上限，并确保 Agent 的行为符合适用的法律法规。在您的治理配置要求人工监督的情况下，您有责任审查和批准 Agent 的输出。

Agent Autonomy BoundariesAgent 自主权边界

Agents operate within the boundaries you define through governance configurations. PERCO.AI provides the tools for setting these boundaries but does not independently verify whether your configurations comply with your industry's specific regulatory requirements. You should consult qualified legal counsel to determine appropriate governance settings for your use case.Agent 在您通过治理配置定义的边界内运行。PERCO.AI 提供设定这些边界的工具，但不会独立验证您的配置是否符合您所在行业的特定监管要求。您应咨询合格的法律顾问以确定适合您用例的治理设置。

Third-Party Integrations第三方集成

When connecting agents to third-party services via MCP, you are responsible for complying with those services' terms of use. PERCO.AI is not liable for actions taken by agents within third-party platforms that result from your configurations.通过 MCP 将 Agent 连接到第三方服务时，您有责任遵守这些服务的使用条款。PERCO.AI 不对因您的配置而导致 Agent 在第三方平台中执行的操作承担责任。

5. Subscription, Billing & Payments5. 订阅、账单与付款

PERCO.AI offers tiered subscription plans. By subscribing, you agree to pay the applicable fees. Key billing terms:PERCO.AI 提供分级订阅方案。订阅即表示您同意支付相应费用。关键计费条款：

• Subscriptions are billed monthly or annually in advance, based on your chosen plan订阅按月或按年预付，取决于您选择的方案
• Agent execution costs (compute, API calls, third-party tool fees) are metered and billed based on actual usageAgent 执行成本（计算、API 调用、第三方工具费用）按实际使用量计量计费
• You may set per-agent and team-level spend caps through the Governance Dashboard您可以通过治理仪表盘设置单 Agent 和团队级别的预算上限

6. Intellectual Property6. 知识产权

PERCO.AI retains all rights, title, and interest in the platform, including its software, algorithms, Agent Leader orchestration engine, user interface designs, documentation, and brand assets. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription term.PERCO.AI 保留平台的所有权利、所有权和权益，包括其软件、算法、Agent Leader 编排引擎、界面设计、文档和品牌资产。您的订阅授予您在订阅期内使用服务的有限、非独占、不可转让的许可。

Custom agent configurations, workflows, governance rules, and skill pack customizations you create using the platform are your intellectual property. You grant PERCO.AI a limited license to host and execute these configurations solely to provide the Service.您使用平台创建的自定义 Agent 配置、工作流、治理规则和技能包定制是您的知识产权。您授予 PERCO.AI 有限许可，仅用于托管和执行这些配置以提供服务。

7. Data Ownership & Processing7. 数据所有权与处理

We will execute a Data Processing Agreement (DPA) upon request for Enterprise customers. The DPA establishes our role as data processor, details security measures, and addresses international transfer mechanisms including Standard Contractual Clauses.应企业客户要求，我们将签署数据处理协议（DPA）。DPA 确立我们作为数据处理者的角色，详述安全措施，并涉及包括标准合同条款在内的跨境传输机制。

8. Acceptable Use Policy8. 可接受使用政策

You agree not to use the Service to:您同意不将本服务用于：

• Violate any applicable laws, regulations, or third-party rights违反任何适用法律、法规或第三方权利
• Deploy agents that engage in deceptive, fraudulent, or harmful activities部署从事欺骗、欺诈或有害活动的 Agent
• Attempt to bypass governance controls, spend caps, or approval workflows试图绕过治理控制、预算上限或审批工作流
• Reverse-engineer, decompile, or disassemble any part of the platform对平台的任何部分进行逆向工程、反编译或反汇编
• Use agents to send unsolicited communications, spam, or harass individuals使用 Agent 发送未经请求的通信、垃圾邮件或骚扰个人
• Process data in violation of data protection laws (GDPR, CCPA, etc.)以违反数据保护法（GDPR、CCPA 等）的方式处理数据
• Interfere with platform security, stability, or other users' experience干扰平台安全性、稳定性或其他用户的体验
• Resell, sublicense, or redistribute the Service without written authorization未经书面授权转售、再许可或再分发本服务

9. Service Availability & SLA9. 服务可用性与 SLA

We target 99.9% uptime for the core platform. Planned maintenance windows will be communicated at least 48 hours in advance. Enterprise customers may negotiate custom SLAs with specific uptime guarantees, response times, and service credits. We are not liable for downtime caused by force majeure events, third-party service outages, or customer-side network issues.我们的核心平台目标可用性为 99.9%。计划维护窗口将至少提前 48 小时通知。企业客户可协商定制 SLA，包含特定的可用性保证、响应时间和服务积分。我们不对因不可抗力事件、第三方服务中断或客户侧网络问题导致的停机承担责任。

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERCO.AI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.在法律允许的最大范围内，PERCO.AI 对因服务引起或与服务相关的所有索赔的总计责任不超过您在索赔前十二（12）个月内支付的总费用。

PERCO.AI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action or theory of liability.PERCO.AI 不对间接、附带、特殊、后果性或惩罚性损害承担责任，包括但不限于利润、收入、数据或商业机会的损失，无论诉因或责任理论如何。

AI agent outputs are generated algorithmically and may contain errors. You are responsible for reviewing agent outputs before acting on them in production workflows. PERCO.AI does not guarantee the accuracy, completeness, or fitness for any particular purpose of agent-generated content.AI Agent 的输出由算法生成，可能包含错误。您有责任在生产工作流中使用 Agent 输出之前对其进行审核。PERCO.AI 不保证 Agent 生成内容的准确性、完整性或对任何特定目的的适用性。

11. Indemnification11. 赔偿

You agree to indemnify and hold harmless PERCO.AI, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your agents' actions in third-party systems, or (d) your violation of any applicable law or third-party right.您同意赔偿并使 PERCO.AI 及其管理人员、董事、员工和关联方免受因以下情况产生的任何索赔、损害、损失或费用：(a) 您使用本服务，(b) 您违反本条款，(c) 您的 Agent 在第三方系统中的行为，或 (d) 您违反任何适用法律或第三方权利。

12. Termination12. 终止

Either party may terminate the subscription with 30 days' written notice. Upon termination:任何一方均可提前 30 天书面通知终止订阅。终止后：

• You will have 90 days to export all your data via the platform's data export tools您将有 90 天通过平台的数据导出工具导出所有数据
• All agent workflows will be deactivated at the end of the notice period所有 Agent 工作流将在通知期结束时停用
• Audit logs will be retained for 12 months post-termination for compliance purposes审计日志将在终止后保留 12 个月以满足合规要求

We may immediately suspend or terminate your access if you materially breach these Terms, engage in prohibited activities, or pose a security threat to the platform or other users.如果您严重违反本条款、从事禁止活动或对平台或其他用户构成安全威胁，我们可以立即暂停或终止您的访问权限。

13. Governing Law & Disputes13. 适用法律与争议解决

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. We may update these Terms from time to time. Material changes will be notified via email or in-platform notification at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
